Terms of service
Welcome to Northline Parts. The terms “Northline Parts,” “we,” “us,” and “our” refer to Northline Parts and the business operating this website.
Northline Parts operates this online store and provides access to product information, shopping features, account tools, customer service resources, and other related services (collectively, the “Services”). Our online store is powered by Shopify.
These Terms of Service (“Terms”), together with any policies referenced in them, govern your access to and use of the Services.
Please read these Terms carefully. They contain important information regarding orders, products, warranties, limitations of liability, and other legal rights and responsibilities.
By visiting, accessing, browsing, or using our website, or by purchasing products from Northline Parts, you agree to these Terms and our applicable policies, including our Privacy Policy and Refund Policy.
If you do not agree to these Terms, you should not use the Services.
SECTION 1 — ACCESS AND ACCOUNTS
By using the Services, you represent that you are legally permitted to enter into transactions and agreements in your jurisdiction.
Certain features may require you to provide information such as your name, email address, billing information, shipping information, or account credentials.
You agree that information submitted to Northline Parts will be accurate, complete, and current.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.
You may not use the Services for fraudulent, unlawful, abusive, or unauthorized purposes.
SECTION 2 — PRODUCTS
Northline Parts offers replacement parts, components, accessories, and related products for a variety of vehicles, engines, machinery, equipment, and applications.
We make reasonable efforts to provide useful and accurate product descriptions, photographs, specifications, dimensions, compatibility information, and part-number references.
Product photographs, packaging, markings, materials, colors, or other characteristics may occasionally differ from images displayed online because of product revisions, manufacturing changes, screen settings, or other factors.
Unless a product listing expressly identifies an item as genuine OEM, products offered by Northline Parts should be understood to be aftermarket replacement products.
References to equipment manufacturers, trademarks, equipment models, OEM part numbers, and other identifying information are provided for identification, compatibility, fitment, and cross-reference purposes.
Such references do not imply affiliation with, authorization by, sponsorship by, or endorsement from the referenced manufacturer unless expressly stated.
Customers should review applicable part numbers, specifications, dimensions, connections, mounting configurations, and compatibility information before installation or use.
Product descriptions, specifications, availability, and other information may be corrected, revised, or updated when necessary.
We reserve the right to discontinue products, limit quantities, or modify product availability at any time.
SECTION 3 — ORDERS
Submitting an order constitutes an offer to purchase the products identified in the order.
An order is not considered finally accepted until Northline Parts accepts and processes the order.
We reserve the right to accept, reject, cancel, or modify an order where reasonably necessary, including because of product availability, pricing errors, payment issues, suspected fraud, shipping restrictions, or inaccurate product information.
If we cancel or materially modify an order after submission, we will make reasonable efforts to notify you using the contact information associated with the order.
Please review your order carefully before submitting it.
Returns, refunds, replacements, and exchanges are governed by our Refund Policy.
SECTION 4 — PRICING, PAYMENT, AND BILLING
Prices, discounts, promotions, and product availability may change without notice.
The price applicable to an accepted order will generally be the price displayed when the order is submitted, subject to correction of obvious pricing, technical, or catalog errors as permitted by law.
Applicable taxes and other charges will be displayed during checkout where required.
You agree to provide accurate and current billing and payment information.
By submitting payment information, you represent that you are authorized to use the selected payment method.
We may use third-party payment processors to facilitate transactions. Payment processing may therefore also be subject to the applicable provider's terms and policies.
SECTION 5 — SHIPPING AND DELIVERY
Shipping and delivery estimates are provided for convenience and are not guarantees unless expressly stated otherwise.
Delivery times may be affected by carriers, weather, transportation conditions, holidays, supply availability, address issues, or other circumstances outside our reasonable control.
Customers are responsible for providing a complete and accurate delivery address.
Northline Parts is not responsible for delays resulting from incorrect or incomplete information supplied by the customer or circumstances beyond our reasonable control.
Questions regarding shipping should be addressed in accordance with our applicable Shipping Policy or by contacting Northline Parts.
SECTION 6 — PRODUCT SELECTION, INSTALLATION, AND USE
Replacement parts must be appropriate for the specific vehicle, engine, machine, equipment, system, or application in which they will be used.
Product titles, compatibility information, cross-reference numbers, specifications, and other information are intended to assist customers with product selection.
Customers should verify compatibility before installation.
Where appropriate, installation should be performed by a person qualified to perform the applicable work.
Northline Parts is not responsible for damage resulting from improper installation, incorrect product selection, unauthorized modification, misuse, improper maintenance, or use of a product outside its intended application, to the extent permitted by applicable law.
If a newly installed component or associated equipment exhibits abnormal operation, warning indicators, unusual noises, overheating, leaks, electrical abnormalities, mechanical interference, or other indications of malfunction, use should be discontinued until the condition can be appropriately evaluated.
Nothing in this section limits any right or remedy that applicable law does not permit Northline Parts to limit.
SECTION 7 — INTELLECTUAL PROPERTY
The Services and their contents, including text, graphics, designs, logos, photographs, videos, software, product information, and other materials, may be owned by Northline Parts or used under license or other applicable rights.
The Northline Parts name, branding, logos, and other proprietary identifiers may not be used without authorization.
References to third-party brands, manufacturer names, trademarks, model numbers, and part numbers remain the property of their respective owners.
You may use the Services for lawful personal or business shopping purposes.
You may not reproduce, distribute, commercially exploit, republish, or misuse protected portions of the Services except as permitted by applicable law or with appropriate authorization.
All rights not expressly granted are reserved.
SECTION 8 — THIRD-PARTY TOOLS AND SERVICES
Certain features of the Services may rely upon or provide access to third-party tools, applications, payment systems, shipping services, analytics services, or other technologies.
Northline Parts does not necessarily control all third-party services made available through or in connection with the website.
Third-party services may be governed by their own terms, privacy policies, and operating practices.
Your use of such services may therefore be subject to additional terms imposed by the applicable provider.
SECTION 9 — THIRD-PARTY LINKS
The Services may contain links to websites, resources, or services operated by third parties.
Northline Parts is not responsible for the content, availability, privacy practices, security, accuracy, or business practices of independent third-party websites.
Accessing a third-party website is at your discretion and may be subject to separate terms and policies.
SECTION 10 — RELATIONSHIP WITH SHOPIFY
Northline Parts uses Shopify technology to operate and support portions of our online store.
Purchases made directly through Northline Parts are transactions with Northline Parts unless expressly indicated otherwise.
Shopify provides ecommerce technology and related services but does not become the seller of Northline Parts products merely because its technology facilitates a transaction.
Use of Shopify-related functionality may also involve processing consistent with Shopify's applicable policies.
SECTION 11 — PRIVACY
Personal information collected through the Services is handled in accordance with our Privacy Policy.
Information may be processed by Northline Parts and appropriate service providers where reasonably necessary to operate the website, process payments, fulfill orders, provide customer service, prevent fraud, improve the Services, or comply with legal obligations.
Because our store is powered by Shopify, certain information may also be processed by Shopify in connection with its ecommerce services.
Please review the Privacy Policy for additional information regarding our privacy practices.
SECTION 12 — CUSTOMER FEEDBACK AND SUBMISSIONS
If you voluntarily submit reviews, photographs, comments, recommendations, suggestions, or other content to Northline Parts, you represent that you have the right to provide that content.
To the extent permitted by law, you grant Northline Parts a non-exclusive, worldwide, royalty-free license to reproduce, display, publish, distribute, adapt, and use submitted content in connection with operating, improving, and promoting the Services.
You may not submit content that is unlawful, fraudulent, defamatory, infringing, malicious, deceptive, or otherwise violates another person's rights.
Northline Parts reserves the right to moderate or remove customer-submitted content where permitted by law.
SECTION 13 — ERRORS, INACCURACIES, AND OMISSIONS
The Services may occasionally contain typographical errors, outdated information, inaccuracies, or omissions relating to product descriptions, specifications, pricing, promotions, availability, shipping, compatibility, or other information.
Northline Parts reserves the right to correct errors, update information, and make appropriate changes where permitted by law.
If a material error affects an order, we may contact you regarding correction or cancellation of the affected order.
SECTION 14 — PROHIBITED USES
You may use the Services only for lawful purposes.
You may not use the Services to:
-
Commit fraud or engage in unlawful conduct;
-
Violate applicable laws or regulations;

-
Attempt to interfere with the security or operation of the Services;

Use the Services in a manner that materially interferes with another person's lawful use of the website.
We reserve the right to restrict or terminate access where reasonably necessary to protect Northline Parts, our customers, service providers, systems, or legal rights.
SECTION 15 — TERMINATION
We may suspend or terminate access to some or all of the Services where permitted by law, including in response to fraud, unlawful activity, material violations of these Terms, security threats, or misuse of the Services.
Termination does not affect rights or obligations that arose before termination.
Provisions that by their nature should continue after termination will remain effective, including provisions concerning intellectual property, warranties, limitations of liability, indemnification, governing law, and other surviving rights and obligations.
SECTION 16 — DISCLAIMER OF WARRANTIES
Northline Parts makes reasonable efforts to provide reliable products, information, and shopping services.
However, except for any express written warranty specifically applicable to a product or transaction, and to the maximum extent permitted by applicable law, the Services and products are provided on an “as is” and “as available” basis.
Northline Parts does not warrant that the website will always be uninterrupted, error-free, or available at all times.
To the maximum extent permitted by applicable law, Northline Parts disclaims warranties that may lawfully be disclaimed, including implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.
Any express written warranty offered for a particular product remains subject to its stated terms.
Some jurisdictions do not allow the exclusion or limitation of certain warranties. Accordingly, these disclaimers apply only to the extent permitted by applicable law.
Nothing in these Terms limits any warranty, right, or remedy that applicable law prohibits us from excluding.
SECTION 17 — LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NORTHLINE PARTS AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE SERVICES OR THE PURCHASE, INSTALLATION, USE, MISUSE, MALFUNCTION, OR FAILURE OF A PRODUCT.
THIS MAY INCLUDE, TO THE EXTENT PERMITTED BY LAW, CLAIMS FOR LOST PROFITS, LOST REVENUE, LOSS OF USE, BUSINESS INTERRUPTION, EQUIPMENT DOWNTIME, TOWING, TRANSPORTATION, RENTAL EXPENSES, OR SIMILAR CONSEQUENTIAL LOSSES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NORTHLINE PARTS' AGGREGATE LIABILITY ARISING FROM A PARTICULAR PRODUCT PURCHASE SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO NORTHLINE PARTS FOR THE PRODUCT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory asserted to the extent permitted by applicable law.
Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, these provisions apply only to the maximum extent legally permitted.
Nothing in these Terms excludes or limits liability that applicable law prohibits Northline Parts from excluding or limiting.
SECTION 18 — INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Northline Parts and its owners, members, managers, employees, affiliates, contractors, agents, licensors, and service providers from third-party claims, liabilities, losses, damages, and reasonable legal expenses resulting from:
-
Your material violation of these Terms;
-
Your unlawful use of the Services;
-
Your infringement of another person's legal rights;
-
Content you submit through the Services; or
-
Your intentional or unauthorized misuse or modification of a product.
This provision does not require a consumer to indemnify Northline Parts for liability that applicable law does not permit to be shifted to the consumer.
SECTION 19 — SEVERABILITY
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law.
Any unenforceable portion may be limited or severed without affecting the validity and enforceability of the remaining Terms.
SECTION 20 — WAIVER AND ENTIRE AGREEMENT
Northline Parts' failure to enforce a provision of these Terms on one occasion does not constitute a waiver of that provision or any other right.
These Terms, together with policies and notices incorporated into them, constitute the agreement governing use of the Services and purchases made through Northline Parts.
SECTION 21 — ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without our prior written consent where such restriction is permitted by law.
Northline Parts may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, business transfer, or other lawful transaction.
SECTION 22 — GOVERNING LAW
These Terms and transactions made through Northline Parts are governed by the laws of the State of Missouri, without regard to conflict-of-law principles, except where applicable law requires otherwise.
To the extent legally permitted, disputes arising from or relating to these Terms, the Services, or purchases from Northline Parts shall be brought in an appropriate state or federal court having jurisdiction in Missouri.
Nothing in this section deprives a consumer of any jurisdiction, venue, protection, or right that applicable law does not permit the parties to waive.
SECTION 23 — CHANGES TO THESE TERMS
We may revise these Terms from time to time by publishing an updated version through the Services.
The current version of the Terms will be available on this page.
Material changes will apply prospectively as required by applicable law.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
